We will not be liable for any loss or damage arising from your failure to comply with these requirements.

3. SUBSCRIPTION AND PAYMENT TERMS

3.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current subscription details and pricing are available on our website. We reserve the right to modify our subscription plans and pricing at any time, with changes taking effect at the start of the next billing cycle.

3.2 Payment

You agree to pay all fees associated with your subscription plan. Unless otherwise stated:

• All fees are quoted in U.S. dollars
• Payments are due at the beginning of each billing cycle
• Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms
• You are responsible for any applicable taxes

3.3 Free Trial

We may offer free trial periods for our Services. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

3.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@predictoracle.com. If you cancel, you may continue to use the Services until the end of your current billing period, but you will not receive a refund for the current billing period.

4. USER CONTENT AND CONDUCT

4.1 User Content

Our Services allow you to upload, submit, store, send, or receive content, including data for analysis ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.

4.2 License Grant

When you upload, submit, store, send, or receive User Content through our Services, you give PredictOracle.com a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such User Content. This license is for the limited purpose of operating, promoting, and improving our Services, and to develop new ones.

4.3 User Conduct

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Upload or transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Services or servers connected to the Services
• Collect or store personal data about other users without their consent

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PREDICTORACLE.COM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7.3 Cap on Liability

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PredictOracle.com, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. TERM AND TERMINATION

9.1 Term

These Terms will remain in effect until terminated by you or PredictOracle.com.

9.2 Termination by You

You may terminate your account at any time by following the instructions on our website or by contacting support@predictoracle.com.

9.3 Termination by Us

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

9.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. The following provisions will survive termination: intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law.

10. MODIFICATIONS TO TERMS AND SERVICES

10.1 Changes to Terms

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

These Terms and any disputes arising out of or related to these Terms or the Services will be governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Services will be brought exclusively in the federal or state courts located in San Francisco, California.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

11.3 Class Action Waiver

YOU AND PREDICTORACLE.COM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

11.5 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by PredictOracle.com on the Services, constitute the entire agreement between you and PredictOracle.com concerning the Services.

11.6 No Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

11.7 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in our sole discretion, without restriction.

11.8 Force Majeure

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, pandemic, epidemic, riots, fire, natural disaster, or labor dispute.
